Justin Heritage Foundation Regular Meeting Minutes

The regular meeting was called to order at 6:02 pm and was presided over by President Jennifer Green with Bonnie McCaig as Secretary.    


Board members in attendance:  Glenda Garrett, Gwen St. Clair, Lea Bryant, Lisa Dyer, India White

Board members absent:  Bailey Acosta, Kelli Thielman

Associate members in attendance:  Courtnery Pacheco, Karen Pacheco

Guests in attendance: William Bracey 

Minutes from the previous meeting on September 14, 2023, have been approved as read.


  1. Consideration and Action of Agenda Items

  1. Report presented by Courtney Pacheco, Chair of Casino Fundraiser
  • Casino Night fundraiser update.
  • Volunteer positions assigned.
  • Discussion of raffle process.

  1. Discussion on amendment to the Justin Heritage Foundation Bylaws authorizing an option of electronic meetings being held or attended via video and/or teleconferencing as follows:

Section V1.05 ELECTRONIC MEETINGS

  1. Except as otherwise provided in these bylaws, meetings of the Justin Heritage Foundation shall be conducted in person, teleconference or electronically by an agreed upon video and/or audio communication platform. The electronic meetings shall be subject to all rules as stated in these bylaws. When an electronic meeting is being conducted, the following criteria must be met: 
  • The required access number, codes, and all information to participate in the meeting shall be provided at a minimum of 24 hours in advance to the Board of Directors and its members.
  • The President and Secretary must have access to a control panel, such as in Zoom, which enables them to perform their duties during the meeting.
  • The meeting should begin at least 5 minutes before the start of each meeting.
  • Each participant must use their own computer or device with audio, speakers, and microphone. No action shall be invalidated on the grounds of the loss or poor quality of a member’s individual connection.
  • The list of participants in the meeting must be visible and identified with proper name for attendance or confirmed by roll call. 
  • To seek recognition by the President or to make a motion, the member must use the raise hand feature.  
  • Motions should be submitted and viewed in writing.   If participating by audio-only, a motion may be submitted orally.
  • The voting results announced by the President, shall be deemed a ballot vote, fulfilling any requirement in these bylaws that a vote be conducted by ballot.

Amendment Moved by Gwen St. Clair to add Section V1.05 under Article VI. Meetings in the Justin Heritage Foundation Bylaws as stated above.  

Amendment was voted unanimously and adopted.
